General Terms

By using, accessing, or purchasing from this website (“Site" or “we”), or interacting with any type of communication (including but not limited to emails, social channels, 3rd party promotion etc.) which is owned or operated by Teamusing, you acknowledge that you have read, understand, and agree to the following Terms of Use ("Terms" or "Agreement"). If, at any time, you do not agree to these Terms, please do not use this Site.

The Site and all Content made available thereon, including articles, stories, text, photographs, images, illustrations, audio and video clips and other content (collectively, the "Content") are the property of the Site and are protected, without limitation, pursuant to Canadian and foreign copyright, trademark and other laws.

Please read and review these Terms periodically. We grant you a personal, limited, non-transferable, non-exclusive license to access and use the Site via a browser on your computer or other personal electronic device. This license is for personal, non-commercial, and educational purposes only. You cannot use the Site or any Content in connection with any commercial purpose, unless you obtain our written consent in advance. No other use is permitted and all other rights not expressly granted in these Terms are reserved.

Nothing contained herein shall grant any license or right to use any Content in any manner other than as explicitly set forth in these Terms without the prior written consent of Teamusing or such third party that may own the Content displayed on the Site. Any unauthorized use of any of the Content is strictly prohibited. Except as provided herein, you agree not to reproduce, sell, republish, broadcast, distribute, make derivative works of or otherwise make available any Content, including by framing, caching or other similar means, without the prior written consent of Teamusing, and, if applicable, the copyright owner of such Content.

You may not access or use, or attempt to access or use, the Site to take any action that could harm us or any third party. We reserve the right in our sole discretion and without notice to you, to revise the products and services available on the Site or to change, suspend or discontinue any aspect of the Site and we will not be liable to you or to any third party for doing so.

We reserve the right to impose rules for and limits on the use of the Site or to restrict your access to part, or all, of the Site without notice. We reserve the right to revoke your access at any time for any reason, including as a result of a violation of these Terms, without notice which includes access to any section of our Site. You may not attempt to circumvent any restriction or condition imposed on your use or access to the Site, or do anything that could disable or damage the functioning or appearance of the Site.

By accessing or using any part of the Site, you accept these Terms, without limitation or qualification. You may not use any portion of the Site if you do not agree with all of the Terms. As a condition of your use of this Site, you agree that you are at least 18 years of age or are visiting the Site under the supervision of an adult or guardian and that you possess the authority to enter into a binding legal agreement.

We reserve the right, in our sole discretion, to change these Terms, in whole or part, at any time. Except as otherwise provided in these Terms, any change will be effective when notice of the change is posted on our Site. Your continued use of the Site will constitute your acceptance of any such changes. Teamusing may also, in the future, offer new services and/or features through the Site or Content (as defined below), including the release of new tools and resources. Such new features and/or services shall be subject to the terms and conditions of this Agreement.

Price information found on this Site is subject to change without notice. All prices listed on the Site are deemed current and no previously posted prices will be honoured once the changed has been made to the Site.

We reserve the right to revoke your access at any time for any reason, including as a result of a violation of these Terms, without notice. We reserve the right to hide, delete or block any hostile, slanderous or, at our discretion, any individual comments, likes, posts, users or followers of any kind relating to their social accounts or Site activities, without notice or penalty..

We reserve the right to modify, suspend, remove or discontinue any of the Properties, Services, or Content (as defined below) or any part of them from time to time without notice or liability for any reason whatsoever. We also reserve the right at any time to charge fees for access to, and to change any limits applicable to obtain free access to, all or any portion of the Properties, Services or Content.

By using the Site you consent to the collection, use and disclosure of your personal information in accordance with our Privacy Policy, and you acknowledge that you have read, understood and agree to our Privacy Policy. In accordance with our Privacy Policy, you may request a deletion of your personal information at any time.

Should you choose to submit a story, photograph, tip, idea or other material for publication or use on the Site, the submission will be subject to our standard Submission Terms as set out in the “User Postings” section, or such other terms as we agree to in writing with you.

Your Teamusing Account

If you create an account on the Site, you are responsible for maintaining the security of your account, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with the account. You must not describe or assign keywords to your account, users or anything else in a misleading or unlawful manner, including in a manner intended to trade on the name or reputation of others, and Teamusing may change or remove any description or keyword that it considers inappropriate or unlawful, or otherwise likely to cause Teamusing any liability. You must immediately notify Teamusing of any unauthorized uses of your account, your account or any other breaches of security. Teamusing will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.

Accounts are offered for individual use only. Account creation is strictly restricted to one account per person. You may not pretend to be someone else or register on behalf of other people. You may not use account credentials that we deem offensive or otherwise inappropriate, in our sole discretion. You may not share your account information with or give your account login credentials to anyone else. Your account may be suspended or terminated and services, products or coupons you have requested or obtained may be withheld, deleted, withdrawn or invalidated without notice if there is any suspicion that you or anyone in your household has misused your account, registered for multiple or fraudulent accounts, shared login credentials or breached any other portion of these Terms.

You agree that we, in our sole discretion, may temporarily suspend or permanently terminate your password, account, or use of any or all of the Site Services and remove and discard any User Postings at our convenience or for any reason, including if we believe you have violated or may violate these Terms. You agree that any suspension and/or termination of your access to or use of the Site may be effected without prior notice and that we will not be liable to you or to any other person as a result of any such suspension or termination, without limitation.

User Postings

All information, data, text, software, graphics, images, avatars, video, audio, applications, code, photographs, messages, ideas, reviews, opinions, comments, submissions, suggestions or other materials created by users on any part of the Site, including any comments, forums or chat boards, ("User Postings") are the responsibility of the user creating the User Postings. TEAMUSING HAS NO RESPONSIBILITY FOR USER POSTINGS AND DOES NOT GUARANTEE OR PROVIDE ANY WARRANTY WITH RESPECT TO THE ACCURACY, INTEGRITY OR QUALITY OF THE USER POSTINGS. However, we retain our right, which we may or may not exercise, in our sole discretion, to review, edit, move, refuse, block or delete any User Postings for any reason whatsoever. We will not be liable to you or any third party for any modification or discontinuance of your User Postings.

You acknowledge and agree that we may preserve User Postings and may also disclose any related information as necessary to satisfy any law, regulation or governmental request, comply with legal process, enforce these Terms or to protect ourselves, our users and/or the public.

You hereby represent and warrant that you have all necessary rights in and to all User Postings you provide, and that such User Postings shall not infringe any proprietary or other rights of third parties or contain any libellous, tortious, or otherwise unlawful information. Without limiting the generality of the foregoing, you agree not to post, transmit, link to, upload or otherwise submit or distribute any User Postings that:

infringe any proprietary or other rights of third parties, including any copyright, trademark, patent, trade secret, privacy or other proprietary or property right;
defame, abuse, stalk, harass, threaten or otherwise violate the legal rights of others, including rights relating to privacy and publicity;
include any material that is inappropriate, profane, defamatory, infringing, obscene, pornographic, indecent, abusive, violent, exploitative, tortious or otherwise unlawful;
denigrate a class of people because of their race, religion, country of origin, sexual orientation, disability, age or gender;
depict violent or criminal acts, or seek to incite violence or crime;
include any material that relates or pertains to any "hate group," for example, groups that are organized in part to promote the oppression of or assert the supremacy of any class of people;
include a photograph of another person or personal information of another person or use that person's correspondence, diaries or personal documents without that person's consent;
involve or promote commercial activities or seek solicitations on behalf of charities or donations of any kind, including promoting any contests, sweepstakes, barter, advertising or franchise, pyramid scheme, multi-level marketing opportunity, "club membership", distributorship or sales representative agency arrangement or other business opportunity;
further or promote any criminal activity or enterprise or provide instructional information about illegal activities including making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses; or
include any material or undertake any activity that could constitute a criminal offence, give rise to civil liability or otherwise violate any applicable law;
distribute or contain spam, chain letters or pyramid schemes;
harvest or otherwise collect or use any information about other users of the Site, including email addresses or phone numbers, without their consent and without complying with all applicable legal requirements;
are false or misleading, including in the locator, sender information or subject matter of an electronic message;
contain or use any "deep-link", "page-scrape", "robot", "spider" or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of a Property, Service or Content, or in any way reproduce or circumvent the navigational structure or presentation of such Property, Service or Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Property, Service or Content without our express written consent;
contain or use any disabling mechanism or feature designed to prevent the use of any Site, or Content, including any clock, timer, counter, computer virus, worm, software lock, drop dead device, Trojan horse routine, trap door, time bomb or any other codes, designs, routines or instructions that may be used to access, modify, replicate, distort, delete, damage or disable any Property, Service, or Content.

You do not have permission to add other users of a Site, Property or Service to any mailing or e-mail list for commercial purposes, even if a user has purchased something from you, unless the user has provided you with consent in accordance with all applicable laws.

Responsibility of Purchasers

The buyer of any Teamusing Product, referred to as the “Purchaser,” is solely responsible for any and all distress, liability, civil risk, or damages, irrespective of whether such damages were foreseeable or arise in contract, tort, equity, restitution, by statute, at common law or otherwise, that may arise on the part of the Teamusing Product recipient. It is the sole responsibility of the Purchaser to ensure that the Teamusing Product is appropriate for the recipient, which includes considering the recipient’s context, age and situation, any allergies, physical or mental conditions, as well as providing accurate shipping information for all deliveries.

Spoilers: We are not liable and cannot control any 3rd party information found online about our products, experience or any content produced by Teamusing. These are referred to as “spoilers”. Teamusing does not have a satisfaction guarantee due to the unique and custom nature of our products.

Allergens: Teas may not be prepared in allergen-free facilities. They may contain trace amounts of common allergens like tree nuts, peanuts, eggs, wheat, milk, soybean, fish or shellfish. If you have an allergy to any of these items please do not consume any product without first speaking to a medical professional to ensure your safe consumption prior to use.

Health Benefits: Some teas claim medicinal or other health benefits like relaxation, anti-inflammation, or detoxification. Teamusing makes no representation or warranties about the efficacy of any teas purchased or recommended on our Site. If you have any pre-existing health conditions or take any medications that could interfere with any tea ingredient, please do not consume any product without first speaking to a medical professional to ensure your safe consumption prior to use.

Pricing, Payment, Renewals and Cancellations

Paid services are available on this Site (referred to as “Services”)

Pricing:

In the event, a product is listed at an incorrect price or with incorrect information due to typographical error or error in pricing or product information Teamusing shall have the right to refuse or cancel any orders placed for product listed at the incorrect price. Teamusing shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, Teamusing shall immediately issue a credit to your credit card account in the amount of the charge.

Price information found on this Site is subject to change without notice. Your total price will include the price of the product plus any applicable sales tax and shipping charges. We will charge tax only in States, Provinces to other Territories where the goods sold over the internet are taxable. We are not obligated to announce sales events in advance, and we will not provide refunds to Purchasers that purchase a Teamuisng Product at full price just before it goes on sale.

Discounts & Credits:

Discounts cannot be combined with other offers except where explicitly stated. Teamusing has the right to turn discounts or promotions on or off at their discretion. Discounts cannot be retroactively applied to orders nor exchanged for alternative discounts at a future date. Prices will fluctuate based on product availability, and at the discretion of Teamusing and will not be matched beyond the discretion of the Customer Support team. Shipping rates will be calculated on the total cart amount after discounts are applied.

Credits expire as listed or 60 days of issue or whichever date comes first. They are non-transferable, non-negotiable, and cannot be redeemed for cash

Cancellations:

All sales are final and cancellations processed directly through our Customer Support team and must be requested within 48 hours of purchase. After this time, it is understood that work on these materials has begun and related orders have passed beyond retrieval.

Customs, Duties & Additional Bank Charges:

Occasionally, packages shipped across international borders may be subject to custom fees or import duties based on local laws. Teamusing has no control over these charges and we can't tell you what the cost would be, as customs policies and import duties vary widely from country to country. Purchasers are responsible for payment of these incremental charges as they are not included in your purchase.

Purchaser is solely responsible for any incremental bank or credit card charges such as foreign transaction fees.

All orders will be reviewed for shipping restrictions, and if necessary, you will be contacted by a member of our team for shipping arrangements. Freight costs incurred will be the responsibility of the purchaser and invoiced from Teamusing. All invoices must be paid before delivery.

Returns & Lost or Damaged Goods:

Teamusing does not offer refunds for damaged goods, but we will offer to replace the goods that were damaged. Please send photos and list of damaged items to narrator@teamusing.com

We do not refund or deal with returned items. We do not ask or allow customers to send us our products as returns.

Shipping and Delivery:

Any merchandise purchased from our Site will be shipped by a third party carrier. As a result, title and risk of loss or damage for such merchandise will pass to you upon our delivery to the carrier.

When items are lost by the mail courier, Teamusing will work to resolve the issue and ensure your items are replaced. Teamusing does not provide refunds or replacements for items that go missing once delivered, or when provided with incorrect shipping addresses.

Furthermore, all missing shipments or items must be reported within 30 days of shipping to qualify for consideration of replacement or possible credit based on product availability. If the product is available, a replacement will be shipped, and a refund will not be issued or considered.

As Teamusing asks others to respect its intellectual property rights, it respects the intellectual property rights of others. If you believe that material located on or linked to by the Site violates your copyright, you are encouraged to notify Teamusing. We will respond to all such notices, including as required or appropriate by removing the infringing material or disabling all links to the infringing material. Teamusing will terminate a visitor’s access to and use of the Site if, under appropriate circumstances, the visitor is determined to be a repeat infringer of the copyrights or other intellectual property rights of Teamusing or others. In the case of such termination, Teamusing will have no obligation to provide a refund of any amounts previously paid to Teamuisng.

Intellectual Property:

This Agreement does not transfer from Teamusing to you any Teamusing or third party intellectual property, and all right, title and interest in and to such property will remain (as between the parties) solely with Teamusing. Teamusing, the Teamuisng logo, and all other trademarks, service marks, graphics and logos used in connection with the Site are trademarks or registered trademarks of Teamusing or its licensors. Other trademarks, service marks, graphics and logos used in connection with the Website may be the trademarks of other third parties. Your use of the Website grants you no right or license to reproduce or otherwise use any Teamusing or third-party trademarks.

Licence to use Teamusing Products:

Subject to your compliance with these Terms and your payment of any applicable fees, Teamusing grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and make personal and non-commercial use of Teamusing Products. This licence does not include any resale or commercial use of any Teamusing Product or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of any Teamusing Product or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data-gathering and extraction tools.

All rights not expressly granted to you in these Terms of Use are reserved and retained by Teamusing or its licensors, suppliers, publishers, rights holders, or other content providers. No Teamusing Product, nor any part of any Teamusing Product, may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without the express written consent of Teamusing. You may not frame or utilise framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Teamusing without express written consent. You may not use any meta tags or any other "hidden text" utilising Teamusing’s name or trademarks without the express written permission of Teamusing.

You may not misuse the Teamusing Products. You may use the Teamusing Products only as permitted by law. Teamusing Product recipients are responsible for adhering to all local laws, bylaws and statutes. The licenses granted by Teamusing terminate if you do not comply with these Terms of Service.

Changes & Termination:

Teamusing reserves the right, at its sole discretion, to modify or replace any part of this Agreement at any time. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the Website following the posting of any changes to this Agreement constitutes acceptance of those changes.

Teamusing may terminate your access to all or any part of the Site at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement or your Site account, you may simply discontinue using the Site and unsubscribe from our emails.

Notwithstanding the foregoing, if you have a Teamusing account, such account can only be terminated by Teamusing if you materially breach this Agreement and fail to cure such breach within thirty (30) days from Teamusing’s notice to you thereof; provided that, Teamusing can terminate the Site immediately as part of a general shut down of our service. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Disclaimer of Warranties:

The material displayed on this Site is provided without any guarantees, conditions or warranties in relation to any statements, comments or representations made. Unless expressly stated to the contrary to the fullest extent permitted by law this Site, Teamusing suppliers, content providers and advertisers hereby expressly exclude all conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity and shall not be liable for any damages whatsoever, including but without limitation to any direct, indirect, special, consequential, punitive or incidental damages of any nature whatsoever, or damages for loss of use, profits, data or other intangibles, damage to goodwill or reputation or health and safety, or the cost of procurement of substitute goods and services, arising out of or related to the use, inability to use, performance or failures of this Site or the Linked Sites and any materials posted thereon, irrespective of whether such damages were foreseeable or arise in contract, tort, equity, restitution, by statute, at common law or otherwise.

WE DO NOT WARRANT THAT THE FUNCTION OF THE PROPERTIES, SERVICES OR THEIR CONTENTS WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF MALFUNCTIONS, VIRUSES, BUGS, OR OTHER HARMFUL COMPONENTS OR WILL BE FREE FROM SECURITY BREACHES, TAMPERING, OR OTHER UNAUTHORIZED INTERVENTIONS.

TO THE FULLEST EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCES (INCLUDING NEGLIGENCE), SHALL WE BE LIABLE FOR ANY LOSS OF USE, LOSS OF DATA, LOSS OF INCOME OR PROFIT, LOSS OF OR DAMAGE TO PROPERTY, OR FOR ANY DAMAGES OF ANY KIND OR CHARACTER (INCLUDING ANY COMPENSATORY, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES, ARISING OUT OF, RELATING TO OR IN CONNECTION WITH THE USE OF ANY OF THE PROPERTIES, SERVICES, OR CONTENT, OR ANY WEBSITE, SERVICE, OFFERING, APPLICATION OR CONTENT WITH WHICH THEY ARE LINKED. IN NO EVENT SHALL TEAMUSING’S AGGREGATE TOTAL LIABILITY TO YOU FOR ANY AND ALL DAMAGES, LOSSES, EXPENSES, COSTS, LIABILITIES AND CAUSES OF ACTION ARISING OUT OF, RELATING TO OR IN CONNECTION WITH YOUR USE OF ANY OF THE PROPERTIES, SERVICES, OR CONTENT, OR ANY WEBSITE, SERVICE, OFFERING, APPLICATION OR CONTENT WITH WHICH THEY ARE LINKED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EXCEED THE GREATER OF (I) THE AMOUNT PAID BY YOU FOR USING THE APPLICABLE SITE, SERVICE, OR CONTENT; AND (II) 10 CANADIAN DOLLARS. YOU SHOULD ALSO BE AWARE THAT E-MAIL AND OTHER SUBMISSIONS OVER THE INTERNET MAY NOT BE SECURE, AND YOU SHOULD CONSIDER THIS BEFORE E-MAILING US OR MAKING ANY OTHER SUBMISSIONS OVER THE INTERNET.

You expressly acknowledge that we have relied on the disclaimers, limitations and exclusions of liability set out in these Terms in making the Site, Services and Content available to you, and that these disclaimers, limitations and exclusions of liability are an essential part of this agreement between you and Teamusing.

Limitation of Liability:

Subject to any limitations stated in the Terms of Use herein, the Site visitor shall indemnify and hold harmless the Teamusing and the respective officers, directors, employees, agents and subcontractors, from and against all claims, demands, losses, and actions, including reasonable legal fees and costs, arising out of damages or liabilities for bodily injury, sickness, disease, loss of capacity, death, or damage to property, caused by a negligent act, strict liability, breach of contract, error, or omission of the Site visitor or any of its agents, subcontractors, or employees in relation to the Site experience, packages and other products offered by Teamusing or purchased by the Site visitor.

General Representation and Warranty:

You represent and warrant that (i) your use of the Site will be in strict accordance with the Teamusing Privacy Policy, with this Agreement and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from Canada or the country in which you reside) and (ii) your use of the Site will not infringe or misappropriate the intellectual property rights of any third party.

Indemnification:

You agree to indemnify and hold harmless Teamusing, its parent or licensors, affiliates and related companies, contractors, and their respective directors, officers, employees and agents from and against any and all claims, actions, demands or expenses, including attorneys’ fees or accounting fees, arising from or related to: Your access to or use of the Site or Content; Your breach of any applicable law (including anti-spam law); Your use of or any reliance on or publication, communication or distribution of anything from the Site, Services, or Content; Any breach of these terms including but not limited to your violation of this Agreement. You shall use your best efforts to cooperate with us in the defence of any claim. We reserve the right, at our own expense, to assume the control of any matter otherwise subject to indemnification by you.

By contributing User Postings to the Site, you give (or warrant that the owner of such rights has expressly given) to us and our affiliates a perpetual, irrevocable, nonexclusive, worldwide, royalty-free, sub-licensable right and license to host, cache, store, copy, tag, index, encode, use, reproduce, modify, edit, adapt (including the right to adapt to streaming, downloading, broadcast, mobile, digital, thumbnail, scanning or other technologies), excerpt, publish, translate, broadcast, transmit, create derivative works from, distribute, sell, re-sell, perform, display, publicly perform and publicize such User Postings anywhere, for any purpose and in any form, media or technology now known or later developed, without any notice or compensation to you.

You also grant us the right to sub-license, transfer and authorize others to exercise any of the rights granted to us under these Terms; and each such third party will be entitled to benefit from the rights and licenses granted to us under these Terms. You further authorize us to publish your User Postings in a searchable format that may be accessed by users of the Site, the Services and the Internet. Such license will apply with respect to any form, media or technology now known or later developed. In addition, you hereby waive any moral rights in such materials and User Postings, or where applicable, warrant they have been waived by the appropriate third party. You further agree that we are free to use any ideas, concepts, know-how, suggestions, or techniques contained in any of the User Postings for any purpose whatsoever including developing, manufacturing and marketing products using such information, without compensation to you.

Links to Third Party Sites

The Site, Content, and User Postings may contain links or references to other sites, services, offerings or applications that are not controlled by Teamusing. The inclusion of a link does not imply endorsement by us. If you decide to visit any linked site, service, offering or application, you do so at your own risk, and it is your responsibility to take all protective measures and to guard against viruses and other destructive elements and any collection, use and disclosure of your personal information through such site, service, offering or application. WE WILL NOT BE RESPONSIBLE OR LIABLE IN ANY WAY FOR THE ACCURACY, RELEVANCY, LEGALITY, OR DECENCY OF MATERIAL CONTAINED IN OR ON ANY SITE, SERVICE, OFFERING OR APPLICATION LINKED FROM A PROPERTY OR FOR ANY INFORMATION OR MATERIAL YOU PROVIDE TO ANY THIRD PARTY.

Unless otherwise indicated on the Site, we are not sponsored by or affiliated with any linked sites, services, offerings or applications, and trademarks used in connection with linked sites, services, offerings or applications are not our trademarks.

Your correspondence and business dealings with Advertisers including the payment for and delivery of goods and services, and any terms, conditions, warranties and representations associated with such dealings, are solely between you and the Advertiser. You agree that we will not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or the offering of such goods, services, content, information or other materials on the Site.

Descriptions of, or references to, products, services, information or publications within the Site does not imply endorsement of that product, service, information or publication. Your dealings or communications through the Site with any party other than Teamusing are solely between you and that third party. If you choose to correspond or transact with Advertisers or other third parties through our Site or Services, you do so at your own risk. You and the appropriate third party, not Teamusing, are responsible for compliance with all laws applicable in any such transaction. It is your responsibility to use caution and common sense, and to evaluate the accuracy, completeness, reliability or usefulness of any information, opinion, advice, claim, representation or other content made available by any Advertisers or other third parties through the Properties or Services.

Under no circumstances will we be liable for any goods, services, resources, information or content made available by or to any third party or through such third party dealings or communications, or for any harm related thereto. Please review carefully any third party's policies and practices and make sure you are comfortable with those policies and practices before you engage in any transaction. Any complaints, concerns or questions you may have relating to materials, products, information, content or services provided by third parties should be forwarded directly to the third party. Teamusing has no responsibility or liability for any damages, losses, costs, expenses or injuries that you may incur in connection with items or services listed for sale by Advertisers or other third parties on the Site.

Miscellaneous:

The parties have required that these Terms and all terms, policies and guidelines relating thereto be drawn up in English.

The Site is managed by Unicorn Marketing Services, located in Ontario, Canada. If you choose to access or use the Site from another location, you are responsible for compliance with local laws, if and to the extent local laws are applicable. None of the Properties, Services or Content are offered for the benefit of individuals located in the European Union. Those located in the European Union are not permitted to subscribe to, access or use the Properties or Services or to create any online account. Without limiting the generality of the foregoing, if you are located in the European Union, you are not eligible to register for a Teamusing account.

Our failure to comply with these Terms because of an act of God, war, fire, riot, terrorism, earthquake, actions of federal, state or local governmental authorities or for any other reason beyond our reasonable control, shall not be a breach of these Terms.

Except for claims for injunctive or equitable relief or claims regarding intellectual property rights (which may be brought in any competent court without the posting of a bond), any dispute arising under this Agreement shall be finally settled in arbitration. The arbitration shall take place in Toronto, Ontario, in the English language and the arbitral decision may be enforced in any court. The prevailing party in any action or proceeding to enforce this Agreement shall be entitled to costs and attorneys’ fees.

If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties’ original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of this Agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. You may assign your rights under this Agreement to any party that consents to, and agrees to be bound by, its terms and conditions; Teamusing may assign its rights under this Agreement without condition. This Agreement will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns.

These Terms supersede all prior agreements or communications between you and us regarding the subject matter of these Terms. This Agreement constitutes the entire agreement between Teamusing and you concerning the subject matter hereof, and they may only be modified by a written amendment signed by an authorized executive of Teamusing, or by the posting by Teamusing of a revised version of these Terms. Except to the extent applicable by law, if any, provided otherwise, this Agreement, any access to or use of the Site will be governed by the laws of the province of Ontario, Canada, excluding its conflict of law provisions, and the proper venue for any disputes arising out of or relating to any of the same will be the provincial and federal courts located in Toronto, Ontario.
